Established in 1965, IHCC is a non-profit entity managed
by volunteers in the community and supported by memberships.
The basis of a community is the people in it. If you would

Highlights from the IHCC Articles of Incorporation and By-Laws
Articles of Incorporation
Article V: The number of Directors shall be fixed at 7, but
this may be amended. In no case shall the number of Directors
be less than 5.
Article X: Members of the Board of Directors serve three-year
terms. They may be re-elected, but may not serve more than
3 consecutive terms. officers serve one-year terms. They may
be re-elected, but may not serve more than 3 consecutive terms.
Article XII: Amendments to the Articles of Incorporation
require a majority vote of those present at a meeting attended
by 20% of the total membership. This also requires mailing
a notice of the proposed amendment to all members at least
two weeks prior to the meeting.
By-Laws
Article III: Memberships may not be transferred or assigned
except that a regular membership may be transferred to the
new owner of a home within 30 days of the sale of the home.
There are four membership classes:
Regular - applied only to homeowners.
Honorary - annual free membership awarded by vote of the
Board.
Tenant - applies to those renting/leasing homes.
Sustaining - basically applies to developers.
Article IV: The officers (Pres., V. Pres., Sec., Treas.)
are elected by the Board of Directors at the Board meeting
to be held immediately following the annual meeting (see Art.
VI). The Secretary and Treasurer may be the same person.
Article V: Meetings. The annual meeting shall be held annually
on the 2nd Friday in March. Special meetings may be called
by request of 10% of membership. A quorum requires 20% of
the total membership in person or by proxy.
Article VI & VII: There are 4 standing committees: Rules
& By-Laws; Pools Grounds; and Membership. A nominating
committee is formed for the sole purpose of nominating candidates
for the Board of Directors. A current Board member may not
be a member of the nominating committee.
Article IX: The Board may fill a director vacancy by a simple
majority vote. Absence of a Board member from 3 consecutive
regular meetings is considered a resignation. The Board may
alter or amend the By-Laws by ¾ vote of the Board.
